Jurisdiction: Commonwealth of Virginia, United States

By accessing or using the HouseGenie website, application, or any services (collectively the “Platform”), you (“User,” “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

Use of the Platform constitutes your electronic acceptance of these Terms under the Electronic Signatures in Global and National Commerce Act (E-SIGN).

HouseGenie is a technology platform that enables users to list properties, connect directly with other users, submit and generate offers and related real-estate documents using automated tools (the “OfferEngine”), and manage related communications.

HouseGenie is not a real-estate broker, agent, or attorney. We do not represent, advise, or act for either party in any real-estate transaction.

HouseGenie does not hold any real-estate license, is not a member of any MLS, and does not provide legal, brokerage, title, escrow, or advisory services.

All information, contracts, or forms generated through the Platform are for informational and convenience purposes only.

You are solely responsible for ensuring any document you use complies with applicable law and reflects the terms agreed upon between buyer and seller.

No communication from HouseGenie, its representatives, or automated systems constitutes legal or real-estate advice.

HouseGenie does not act as an agent, representative, fiduciary, or advisor for any user. No fiduciary, confidential, agency, or special relationship is created between HouseGenie and any user by virtue of the Platform.

All users act solely on their own behalf and in their own interests. HouseGenie owes no duty of loyalty, care, disclosure, or advice to any user.

HouseGenie does not hold, manage, or safeguard funds on behalf of users and does not provide escrow or trust account services.

By using the Platform, you consent to the use of electronic records and signatures for all notices, contracts, disclosures, and communications.

Users acknowledge that electronic signatures applied through the Platform carry legal consequences and are applied at the user’s own risk.

You also agree to receive communications by email, text message, or other electronic means, and understand that opting out may limit your ability to use certain Platform features.

Users must create an account to access most Platform features. You agree to provide accurate information and update it as necessary.

You authorize HouseGenie and its partners (e.g., UpPass, Stripe, or other verification providers) to verify your identity, payment method, and proof of funds.

You are responsible for all activities under your account.

By signing any document through the Platform, you represent and warrant that you have full legal authority to bind yourself, and, if applicable, any entity or co-owner you purport to represent.

Fees are collected through Stripe at the time of service or subscription.

Fees are non-refundable except as required by law.

Tiered accounts or feature access (e.g., number of listings, offers, or contract generations) are prepaid and expire according to the plan selected.

You authorize HouseGenie to process payments using Stripe or its successors. Stripe’s terms govern all payment processing.

HouseGenie provides software tools and automation for users to create, review, and manage their own property listings and contracts.

We do not participate in or validate any transaction, nor do we warrant the accuracy, completeness, or enforceability of any generated document.

HouseGenie does not guarantee uninterrupted or error-free operation of the Platform and shall not be liable for delay, outages, or technical failures.

OfferEngine generates forms and contracts automatically using information supplied by users and publicly available data sources (including county assessor records, ATTOM, and other databases).

HouseGenie makes no guarantee as to the accuracy, completeness, or enforceability of generated documents.

Offers generated through OfferEngine are not fully binding until all legally required disclosures have been presented and signed by all parties.

Users may not export or use HouseGenie-generated documents for off-platform transactions without payment or authorization. Unauthorized use constitutes a breach of these Terms and may result in legal action.

HouseGenie may store copies of executed contracts, disclosures, and related documents for user convenience for a limited period of time. Unless otherwise required by law, HouseGenie does not guarantee retention beyond twenty-four (24) months from the date of execution and may delete documents at any time thereafter without notice.

Users are solely responsible for downloading, retaining, and safeguarding their own copies of all signed documents. HouseGenie is not a document custodian, escrow agent, or record-keeping service and assumes no responsibility for document loss, deletion, or unavailability.

Users acknowledge and agree that all contract, offers, disclosures, and addenda generated through the Platform should be reviewed by a qualified real estate attorney before execution.

HouseGenie does not review, approve, or verify the legal sufficiency of any document and expressly disclaims responsibility for any legal consequences arising from their use.

Users are solely responsible for the accuracy and legality of listings, descriptions, photos, and related materials they post.

By submitting content, you grant HouseGenie a non-exclusive, royalty-free, worldwide license to display and use it for Platform functionality and marketing.

HouseGenie is not responsible for verifying the truthfulness, accuracy, or completeness of any information provided by users, including identity, authority to sell, financial ability, or intent.

Users assume all risk arising from misrepresentation, fraud, forgery, or unauthorized actions by other users.

No Guarantee of Results: HouseGenie makes no promise regarding buyer or seller activity, listing exposure, or sale outcomes.

AI and Automation Disclaimer: Output generated by HouseGenie’s automated systems is based on user input and public data and may contain inaccuracies or errors.

No Warranties: The Platform is provided “as is” and “as available.” We disclaim all implied warranties including merchantability, fitness for a particular purpose, accuracy, or reliability.

No Guarantee of Legal Enforceability: HouseGenie does not guarantee that any document generated, signed, or merged, through the Platform will be legally enforceable in any jurisdiction or circumstance. Enforceability depends on factors outside HouseGenie’s control, including applicable law, user conduct, completeness of disclosures, and third-party actions.

To the maximum extent permitted by law:

• HouseGenie and Genesis AI Solutions, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or loss of data.
• Our total liability for any claim shall not exceed the greater of $100 or the total fees paid by you during the six (6) months preceding the claim.

You agree to indemnify, defend, and hold harmless HouseGenie, its parent Genesis AI Solutions, LLC, affiliates, officers, and contractors from any claim, loss, or expense (including attorneys’ fees) arising out of:

• Your use of the Platform,
• Your breach of these Terms, or
• Any transaction or communication with another user.

All software, trademarks, and materials on the Platform are owned by Genesis AI Solutions, LLC or its licensors. You may not copy, modify, or reverse-engineer any part of the Platform without written consent.

Use of the Platform is also governed by our Privacy Policy, which details how we collect, store, and process user data, including payment information, identity verification data, and offer metadata.

We may suspend or terminate access to your account at any time with or without cause. Upon termination, your right to use the Platform ceases immediately.

These Terms are governed by the laws of the Commonwealth of Virginia.

Any disputes shall be resolved by binding arbitration in Virginia, on an individual basis, and you waive any right to participate in a class action.

Small-claims actions may be filed in a Virginia court of competent jurisdiction.

We may update these Terms from time to time by posting a revised version on the Platform. Continued use after such posting constitutes your acceptance of the changes.

If any provision of these Terms is held to be invalid, illegal, or unenforceable in whole or in part, such provision shall be enforced to the maximum extent possible, and the remaining provisions shall continue in full force and effect.

All provisions of these Terms which by their nature should survive termination or expiration of these Terms, including but not limited to provisions relating to disclaimers, limitation of liability, indemnification, dispute resolution, arbitration, governing law, document retention, and intellectual property.

If you submit suggestions, ideas, feedback, recommendations, or other input regarding the Platform or HouseGenie’s services (“Feedback”), you agree that such Feedback is provided voluntarily and without restriction.

You grant HouseGenie a perpetual, irrevocable, worldwide, royalty-free, and sublicensable right to use, modify, incorporate, and commercialize such Feedback for any purpose, without compensation, attribution, or obligation to you.

HouseGenie has no obligation to review, implement, or respond to any Feedback.
